1Agreeing to these terms

These Terms of Service (“Terms”) are an agreement between you and Tristar Dynamics LLC, a New Jersey limited liability company (“Tristar Dynamics,” “we,” or “us”), about your use of the Ledgium app and its widgets (together, “Ledgium”). By downloading, installing, or using Ledgium, you agree to these Terms and to the Ledgium Privacy Policy. If you don’t agree, don’t use Ledgium.

2Who can use Ledgium

You must be old enough to enter into a binding contract where you live, or use Ledgium with the permission of a parent or guardian who agrees to these Terms for you. You must also follow the App Store’s terms, including its Usage Rules.

3Your license

We give you a limited, non-exclusive, non-transferable, revocable license to download and use Ledgium for your own personal use on Apple-branded devices that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. You may not:

• copy, modify, or make derivative works of Ledgium, except as the law allows;
• reverse engineer, decompile, or try to extract Ledgium’s source code, except where the law expressly allows it;
• rent, lease, lend, sell, redistribute, or sublicense Ledgium;
• remove or change any copyright, trademark, or other notices; or
• use Ledgium in a way that breaks the law or harms others.

We keep all rights that these Terms don’t expressly give you.

4Ledgium is a planning tool, not financial advice

Ledgium helps you plan how to split your paychecks and keep track of bills, spending, card bills, and debts. Its figures, including allocations, amounts per day, bill assignments, card bills, and payoff estimates, are calculated from what you enter and are estimates. They may differ from your actual balances, due dates, interest, and fees.

• Ledgium doesn’t give financial, investment, tax, credit, or legal advice. We aren’t a bank, lender, credit counselor, or financial advisor, and nothing in Ledgium is a recommendation.
• Ledgium doesn’t connect to your accounts, and it can’t move money or pay bills for you. Marking a bill paid in Ledgium doesn’t pay it.
• You’re responsible for checking amounts and due dates with your bank, card issuer, or lender, for paying your bills on time, and for your financial decisions.
• Reminders depend on your device and its settings and may not always arrive. Don’t rely on them alone.

5Your data

What you enter in Ledgium belongs to you. It’s stored on your devices and, if you use iCloud, in your private iCloud database, which Apple provides under its own terms. Because we don’t store your data, we can’t recover it if it’s lost. You’re responsible for keeping your devices and Apple Account secure and for keeping backups, such as iCloud Backup. The Privacy Policy explains how information is handled.

6Ledgium Pro

Features marked Pro in the app require Ledgium Pro, available as an automatically renewing monthly or yearly subscription, or as a one-time lifetime purchase, at the prices shown in the app before you buy. Prices may vary by country and may change.

• Payment. Your Apple Account is charged when you confirm a purchase. Apple processes all payments under the Apple Media Services Terms and Conditions.
• Free trials. Where the app offers a free trial, Apple decides who’s eligible, usually one trial per Apple Account. When a trial ends, the subscription starts and you’re charged unless you cancel at least 24 hours before the trial ends.
• Automatic renewal. A subscription renews automatically for the same period at the then-current price unless you cancel at least 24 hours before the current period ends. Your Apple Account is charged for the renewal within the 24 hours before the period ends.
• Cancelling. Manage or cancel your subscription in Settings › Apple Account › Subscriptions on your device. Cancelling stops future renewals, and Pro stays active until the end of the period you’ve paid for. Deleting Ledgium doesn’t cancel a subscription.
• Refunds. Apple handles refunds under its own policies; you can ask for one at reportaproblem.apple.com. We can’t issue refunds ourselves.
• Lifetime. A lifetime purchase is a single payment that unlocks Pro on devices signed in to the same Apple Account, for as long as we offer and support Ledgium. “Lifetime” refers to the life of the Ledgium app, not of any person.
• Restoring. Use Restore purchases on the Ledgium Pro screen to unlock Pro on a new or reset device.
• Family Sharing. Ledgium Pro isn’t shared through Family Sharing.
• Changes to Pro. We may add, change, or remove features in Ledgium and Ledgium Pro. If a change significantly reduces the Pro features you’ve paid for, you can cancel, and you can ask Apple for a refund under its policies.

7Services from others

Ledgium relies on services from other companies, including Apple (the App Store, iCloud, and Face ID) and RevenueCat (which checks Pro purchases). Your use of those services is subject to their own terms and privacy policies, and we aren’t responsible for them.

8Ownership

Ledgium, including its software, design, text, and graphics, and the Ledgium name and logo, belong to Tristar Dynamics and its licensors and are protected by intellectual property laws. Apple, iPhone, iCloud, Face ID, and App Store are trademarks of Apple Inc., registered in the U.S. and other countries and regions.

9Feedback

If you send us ideas or suggestions, we may use them without any obligation to you.

10Updates and availability

We may update Ledgium from time to time, and some updates may be needed to keep using it. We may also change or stop offering Ledgium or any of its features. We don’t promise that Ledgium will work on every device or iOS version, or that it will always be available or free of errors.

11Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, LEDGIUM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DON’T WARRANT THAT LEDGIUM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ITS CALCULATIONS WILL BE ACCURATE OR COMPLETE, OR THAT YOUR DATA WILL SYNC OR BE PRESERVED WITHOUT LOSS.

Some places don’t allow these exclusions, so some of them may not apply to you.

12Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRISTAR DYNAMICS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL; OR FOR LATE FEES, OVERDRAFT FEES, INTEREST, PENALTIES, OR EFFECTS ON YOUR CREDIT, ARISING FROM OR RELATED TO LEDGIUM OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO LEDGIUM OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR LEDGIUM IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR US$50.

Some places don’t allow these limits, so some of them may not apply to you. Nothing in these Terms limits any liability that can’t be limited by law.

13Indemnity

To the extent the law allows, you agree to indemnify and hold harmless Tristar Dynamics from any claims, losses, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or your misuse of Ledgium.

14Ending these Terms

These Terms apply until you or we end them. You can end them at any time by deleting Ledgium from your devices and cancelling any subscription. Your rights under these Terms end automatically if you don’t follow them. Sections 4, 5, 8, 9, and 11 through 18 continue to apply after these Terms end.

15App Store terms

These terms apply because Ledgium is distributed through Apple’s App Store. If anything else in these Terms conflicts with this section, this section applies.

1. Acknowledgement. These Terms are between you and Tristar Dynamics only, not Apple. Tristar Dynamics, not Apple, is solely responsible for Ledgium and its content.
2. Scope of license. Your license to Ledgium is a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that Ledgium may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
3. Maintenance and support. Tristar Dynamics is solely responsible for providing any maintenance and support for Ledgium, as described in these Terms or as required by law. Apple has no obligation whatsoever to provide maintenance or support for Ledgium.
4. Warranty. Tristar Dynamics is solely responsible for any product warranties, whether express or implied by law, to the extent they aren’t effectively disclaimed. If Ledgium fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for Ledgium to you. To the maximum extent permitted by law, Apple has no other warranty obligation for Ledgium, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty are Tristar Dynamics’ responsibility.
5. Product claims. Tristar Dynamics, not Apple, is responsible for addressing any claims by you or any third party relating to Ledgium or your possession and use of it, including (i) product liability claims; (ii) any claim that Ledgium fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar laws.
6. Intellectual property rights. If a third party claims that Ledgium or your possession and use of it infringes that third party’s intellectual property rights, Tristar Dynamics, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
7. Legal compliance. You represent and warrant that (i) you aren’t located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you aren’t listed on any U.S. Government list of prohibited or restricted parties.
8. Developer name and address. Please direct any questions, complaints, or claims about Ledgium to Tristar Dynamics LLC, using the contact details in section 19.
9. Third-party terms. When using Ledgium, you must comply with any applicable third-party terms of agreement, such as your wireless data service agreement.
10. Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.

16Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules. Before filing a claim, please contact us at contact@tristardynamics.com so we can try to resolve it informally within 30 days. Any claim that isn’t resolved that way must be brought only in the state courts located in Bergen County, New Jersey, or in the United States District Court for the District of New Jersey, and you and we consent to their jurisdiction. If you’re a consumer living outside the United States, you keep the protection of the mandatory laws of your country, and you may bring claims in your local courts where those laws allow.

17Changes to these Terms

We may update these Terms. We’ll post the new version with a new effective date and, if a change is significant, point it out in the app or in Ledgium’s App Store release notes. Changes apply from their effective date, and if you keep using Ledgium after that, you accept the updated Terms. If you don’t agree, stop using Ledgium and cancel any subscription.

18General

These Terms and the Privacy Policy are the entire agreement between you and us about Ledgium. If any part of these Terms is found unenforceable, the rest stays in effect. If we don’t enforce a provision, we haven’t waived it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, employment, or agency relationship. These Terms are written in English, and any translation is for convenience only.
